Affiliate Licensing Agreement

1. Grant of License.
By Creating an Affiliate Account, you hereby grant Good Journey LLC ("Good Journey") and its third party vendors and affiliates a non-exclusive, worldwide, royalty-free, and perpetual license to use, reproduce, modify, distribute, and display your content ("Content") that includes any of Good Journey's products and services for the purposes of advertising, promotion, and marketing of the Company's products or services. This license includes all forms of media, such as digital, print, social media, television, and other platforms, whether existing now or developed in the future. 

2. Content Ownership You retain all rights, title, and interest in and to the Content. This Agreement does not transfer any ownership rights to Good Journey beyond the licensed use described herein.

3. Representations and Warranties You represent and warrant that: a) you own or have obtained all necessary rights and permissions for Good Journey to use the Content as outlined in this Agreement. b) The Content does not infringe on any copyright, trademark, or other proprietary rights of any third party. c) The Content complies with all applicable laws and does not contain defamatory, obscene, or otherwise illegal material.

4. Indemnification Affiliate agrees to indemnify, defend, and hold harmless Good Journey from any claims, damages, or liabilities arising from the Good Journey's use of the Content as permitted under this Agreement, including but not limited to claims of intellectual property infringement.

5. Termination This Agreement may be terminated by either party with thirty (30) days' written notice. Upon termination, the Company will cease using the Content in future campaigns, but may continue using materials already in production.

6. Governing Law This Agreement shall be governed by and construed in accordance with the laws of California, without regard to its conflicts of law principles.

7. Entire Agreement This Agreement constitutes the entire understanding between the parties regarding the use of the Content and supersedes all prior agreements, discussions, or understandings, whether written or oral.
